1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the SUTTYLABS AI chatbot widget services, admin dashboard, websites, and related applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

2. Eligibility

You must be at least 18 years old or have parental/guardian consent to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Description of Service

SUTTYLABS provides AI-powered chatbot widgets for websites, including tools for creation, customization, analytics, conversation management, and training data management.

4. Third-Party Services

The Service integrates with third-party providers. By using the Service, you acknowledge and agree that:

• OpenAI provides natural language processing to generate chatbot responses.
• Google Calendar provides scheduling/calendar functionality when you connect your account.
• Stripe securely processes subscription and payment transactions.
• Your use of these integrations is subject to their respective terms and privacy policies.

5. User Accounts

5.1 Account Creation

• Provide accurate and complete information when creating an account.
• Maintain the confidentiality of your credentials and restrict access to your account.
• Notify us immediately of any unauthorized access or suspected breach.

5.2 Responsibilities

• You are responsible for all activities under your account.
• You must comply with all applicable laws and these Terms.
• Organizational accounts must designate an administrator with authority over user management.

6. Payment Terms

6.1 Subscription Fees

• Fees are charged in advance on a recurring basis according to your plan.
• Unless stated otherwise, fees are non-refundable except as required by law.

6.2 Payment Processing

• All payments are processed securely by Stripe.
• SUTTYLABS does not store or have access to full payment card details.
• You authorize Stripe to process payments on your behalf and must maintain valid payment information.
• We may suspend or terminate access for failed or disputed payments.

6.3 Taxes & Price Changes

• Fees are inclusive of taxes; you are not responsible for any additional taxes.
• We may change prices with at least 30 days' prior notice for recurring plans.

7. Acceptable Use

You agree not to use the Service to:

• Violate laws or third-party rights (including IP, privacy, and publicity rights).
• Upload or transmit malicious code, spam, or harmful content.
• Attempt to probe, scan, or test the vulnerability of the Service.
• Build competing products or perform unauthorized benchmarking.
• Collect or process personal data without proper notice and consent where required.
• Submit or process Highly Sensitive Data (e.g., payment card numbers, government IDs, health/medical data, children’s data) unless we expressly agree in writing.
• Use the Service in high-risk scenarios where errors could lead to harm (e.g., medical, legal, financial advice without human review).

8. Content and Data

8.1 Your Content

• You retain ownership of content and training data you provide.
• You grant SUTTYLABS a worldwide, royalty-free license to host, process, transmit, and display your content solely to provide and improve the Service.
• You are responsible for ensuring you have all necessary rights to the content you provide.

8.2 Generated Content

• AI-generated outputs may be inaccurate or inappropriate. You are responsible for reviewing and moderating responses.
• SUTTYLABS disclaims liability for actions taken based on AI-generated content.

8.3 Feedback & Usage Data

• If you provide feedback, you grant us a perpetual, royalty-free license to use it without restriction.
• We may collect aggregated or de-identified usage data to operate, secure, and improve the Service.

9. Privacy and Data Protection

SUTTYLABS stores user data provided in the dashboard (e.g., name, email, address, company name, and business website info), chatbot training data, configuration data, and analytics related to usage (such as interaction counts and response times). We do not store payment card details. For details, see our Privacy Policy.

10. Service Availability & Support

• We strive for high availability but do not guarantee uninterrupted access.
• Scheduled maintenance or emergency updates may temporarily affect availability; we will provide notice where feasible.

11. No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL.

13. Indemnification

You agree to defend, indemnify, and hold harmless SUTTYLABS, its affiliates, and their officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Service, or your violation of these Terms or applicable law.

14. Compliance & Export Controls

You must comply with all applicable export control and sanctions laws. You represent that you are not located in or ordinarily resident of any embargoed country or on any restricted party list.

15. Suspension & Termination

15.1 By You

You may terminate your account at any time by contacting support@suttylabs.com. Fees paid are non-refundable unless required by law.

15.2 By Us

We may suspend or terminate access for any violation of these Terms, suspected misconduct, non-payment, legal compliance, or to protect the Service’s security or integrity.

15.3 Effect

• Your right to access the Service ceases immediately upon termination.
• We may delete account data after a reasonable period, subject to legal obligations. You are responsible for exporting your data prior to termination.

16. Changes to the Service and Terms

We may modify the Service or these Terms from time to time. Material changes to pricing or terms will be notified in advance where required. Your continued use constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.

18. Dispute Resolution

If you are a consumer, you may bring legal proceedings in the courts of England and Wales. If you are a business user, any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

19. Miscellaneous

• Severability: If any provision is unenforceable, the remaining provisions remain in effect.
• Assignment: You may not assign these Terms without our prior written consent.
• Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control.
• Notices: We may provide notices via email, in-product messages, or posting on our website.
• Entire Agreement: These Terms constitute the entire agreement between you and SUTTYLABS regarding the Service.
